These Terms of Use ("Terms") are a binding agreement between you and KXCO. They govern your access to and use of the website at kxco.ai, its subdomains, and any content, documentation, tools, APIs or software we make available through it (together, the "Services"). Please read them carefully.
By accessing or using the Services, you agree to these Terms. If you are using the Services for an organisation, you confirm you are authorised to bind that organisation. If you do not agree, you must not access or use the Services.
Sections 10–16 limit our liability, disclaim warranties, and require you to indemnify us. Section 22 sets the governing law and how disputes are resolved. Please read them closely.
By accessing kxco.ai or any KXCO-operated domain, you accept these Terms and our Privacy Policy, which is incorporated by reference. You represent that you are at least 18 years old and legally able to enter into a binding contract, and that your use of the Services complies with all laws that apply to you. If you access the Services on behalf of a company or other entity, "you" includes that entity and you warrant that you have authority to bind it.
"KXCO", "we", "us" and "our" mean KXCO by Knightsbridge Group and its affiliates. "Content" means all material made available through the Services, including text, graphics, design, code, documentation, specifications, research and data. "Products" means KXCO software, platforms, APIs and services that may be offered under separate agreements. "You" means the person or entity accessing the Services.
KXCO is a software company. We build and license trust and infrastructure software for licensed institutions, businesses and developers. We are not a bank, broker, exchange, money transmitter, custodian, investment adviser, or provider of regulated financial services. We do not hold, control or take custody of client funds, assets or private keys through this website.
Where a licensed institution, business or other party deploys KXCO software to serve its own users, that party, not KXCO, is solely responsible for its own regulatory permissions, licensing, customer relationships, and compliance with all applicable law, including any authorisation, KYC/AML, consumer-protection and data-protection obligations.
Nothing on the Services constitutes financial, investment, legal, tax, accounting or other professional advice, and nothing should be relied upon as such. The Content is provided for general information only. You are responsible for obtaining your own independent professional advice before acting on anything you find on the Services.
Nothing on the Services is an offer, solicitation, or recommendation to buy, sell or hold any security, token, digital asset or financial instrument, or to enter into any transaction, in any jurisdiction where such an offer or solicitation would be unlawful.
The Content, including product descriptions, roadmaps, technical specifications, market data, research and citations, may be incomplete, out of date, or changed without notice, and may contain errors or omissions. Statements about future plans, capabilities or performance are forward-looking and are not guarantees. Actual outcomes may differ materially. We are under no obligation to update any Content.
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and view the Services for your own lawful, informational and internal business purposes. This licence does not transfer any ownership and may be revoked at any time. All rights not expressly granted are reserved.

The Services and all Content are owned by Knightsbridge Group, KXCO and/or their licensors and are protected by copyright, database rights, trademark and other laws. Except for the limited licence in Section 6, nothing gives you any right, title or interest in the Services or Content.
"KXCO", the KXCO logo, and other KXCO names and marks are trademarks of Knightsbridge Group and KXCO. You may not use them without our prior written permission. Any KXCO software published under an open-source licence (for example Apache 2.0 or MIT) is governed solely by that licence; these Terms do not grant any other licence to that software.
If you send us information through a contact or briefing form, email, or otherwise ("Submissions"), you are responsible for its accuracy and legality and confirm you have the right to send it. Submissions and any suggestions or feedback are provided on a non-confidential basis, and you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce and incorporate them for any purpose, including improving our Products, without any obligation or compensation to you.
The Services may link to or interoperate with third-party websites, networks, software and services that we do not control (for example GitHub, npm, public blockchains, and infrastructure providers). We provide these for convenience only and do not endorse and are not responsible for them, their content, availability, or practices. Your use of any third party is at your own risk and subject to that party's own terms. KXCO Products offered under separate agreements are governed by those agreements; if they conflict with these Terms, the separate agreement controls for that Product.
The Services and all Content are provided "as is" and "as available", with all faults, and without warranty of any kind.
To the fullest extent permitted by law, we disclaim all warranties, express, implied or statutory, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, error-free, free of harmful components, or that any Content is accurate, complete or current.
You use the Services at your own risk and are solely responsible for any decision you make or action you take based on the Content. You are responsible for your own devices, networks, credentials and data, and for maintaining appropriate backups and security. Where the Content relates to blockchain, cryptographic, digital-asset or emerging technologies, you acknowledge these carry inherent technical, security, market and regulatory risks that are outside our control.

These limitations apply to all claims, whether based in contract, tort (including negligence), statute or otherwise, and reflect a reasonable allocation of risk. Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that applicable law does not permit us to exclude.
You agree to defend, indemnify and hold harmless KXCO, Knightsbridge Group and their affiliates, officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or connected with: (a) your use of the Services; (b) your breach of these Terms or of any law; (c) your Submissions; or (d) your infringement of any third-party right. We may assume the exclusive defence of any matter subject to indemnification, at your expense, and you agree to cooperate.
The disclaimers, limitations of liability and releases in these Terms are for the benefit of KXCO, Knightsbridge Group, and their respective affiliates, officers, directors, employees, agents, licensors and suppliers, each of whom may enforce the relevant provisions. Except as stated, a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term.
Our handling of personal information is described in our Privacy Policy. By using the Services you acknowledge that policy.
We may modify, suspend or discontinue all or part of the Services at any time, and may restrict or terminate your access at any time, with or without notice, including for any suspected breach of these Terms. Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will survive.
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, outages, cyber-attacks, failures of networks or third-party providers, changes in law, or other force-majeure events.
We may update these Terms at any time. The "last updated" date above reflects the latest revision. Changes take effect when posted, and your continued use of the Services after that constitutes acceptance. If you do not agree to a change, you must stop using the Services.
These Terms, together with the Privacy Policy and any separate Product agreement, are the entire agreement between you and us regarding the Services and supersede any prior understanding. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions stay in force. Our failure to enforce any right is not a waiver. You may not assign these Terms without our consent; we may assign them freely, including in connection with a merger or sale. Headings are for convenience only.
If you use the Services as a consumer, nothing in these Terms affects your statutory rights that cannot be excluded or limited by law, and those mandatory rights prevail over any conflicting provision in these Terms.
These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes) are governed by the laws of England and Wales. You and we submit to the exclusive jurisdiction of the courts of England and Wales, except that we may seek injunctive relief in any court of competent jurisdiction to protect our intellectual property or confidential information. If you are a consumer resident elsewhere, you may also benefit from mandatory protections and courts of your place of residence where applicable law so provides.
