# The place you run your deal from.

Family offices, funds, broker-dealers and founders run their deal on Meridian. KXCO built the rail. Knightsbridge Financial runs its own book on it.

You apply to become a Member, and admission is not automatic. Counterparties do not apply: a Member tickets them into the room as guests, and when the deal dies they leave. AI runs the room. The human runs the deal.

What Meridian Is

## Not a club. Not an exchange. Not retail.

Meridian is where a firm runs its own deal. Not a public club anybody can join, not an exchange, not a retail product, and nothing to do with FX. KXCO built the rail and licenses it. Knightsbridge Financial is a Member like any other and runs its own book on it.

We never hold the asset. Settlement goes to your custodian or your wallet, not to us. KXCO is a software company: it is not a broker, it does not introduce, recommend or place, and nothing on Meridian is an offer or a solicitation.

What you get is the room your deal actually runs in, with the record it should have had all along: who came in, at what level, what they saw, what they asked, what was signed, and when.

This is the line that everything else on the platform is built on, so it is worth being exact about it.

A room belongs to you. You decide who comes in, at what level, and when it closes.

You approve every access request. Nobody enters because a link reached them.

You take the decisions. The room does the work around them.

Counterparties do not apply. A Member tickets them in.

Signing the NDA only asks to come in. The Member still has to let them in.

Signing does not make anybody a Member of Meridian. It never has.

When the deal dies, the ticket ends and the guest leaves.

This is not a promise about a future release. It is what the room already does.

Every Member's mandate is a set of sectors, geographies, instruments, currencies and ticket sizes, and a live deal is scored against all of them. Investors it fits are alerted. You get the list of who to approach, ranked by who is already engaged with you, and the reason anyone was ruled out.

Most platforms observe everything and then prompt nothing. Yours opens on the queue: who went quiet, who came back, what is waiting on you and what is waiting on them. Built from what happened in the room, not from what somebody remembered to log.

Before it goes live the room scores the offering against what a buyer will look for: terms filled, documents approved, the diligence list defined, settlement configured, the room actually reachable. It also tells you what nobody can currently see, which is the failure that never announces itself.

The room takes the standard diligence list for your deal type, reads your pack, and tells you which items it already evidences and on which page. The gaps are the useful part. You find them before your counterparty does.

A number in the model that does not match the number in the accounts, a date in the contract that contradicts the timeline, a name that appears in one place and not the other. The room reads across the pack, not one file at a time.

Not from what somebody typed into a pipeline field. From who opened what, how long they stayed, what they asked, what they signed and what they went quiet on. The status of the deal comes from the deal.

The AI does not close the deal. It prepares, it checks, it watches and it tells you what it found. Every decision that matters, who comes in, what they see, what you accept, is taken by a person, and the record shows which person and when.

How It Works

## From opening the room to closing it.

The Member holds the controls at every step. Nothing opens itself.

You open the room

A room belongs to you. It can stand alone or sit behind an offering. You set access per document: view only, downloadable through a recorded notice, or restricted to people you name. Folders arrange documents, they never grant access.

You ticket the guests in

You send a ticket to the people who should see the deal. They sign a quantum-attested confidentiality undertaking, sealed with ML-DSA-65 and bound to the hash of the document they were shown. Signing raises a request, it does not open the room. You are told somebody is waiting, and you choose the level they get.

You see who saw what

Every reader's copy is watermarked to them. Every open is timestamped. Links can be locked to the people you sent them to. Documents carry version chains with material-change reports, a redaction workflow and screen-capture detection. If a file travels, the copy says who it travelled from.

The room works the deal with you

Buyer questions drafted before they arrive. Documents checked against each other. A threaded Q&A where every exchange is attributed and timestamped. Diligence checklists, memos and information requests on both sides, and a closing checklist that tracks what is still outstanding.

You sign and you settle

Term sheets and closing documents are signed in the room with ML-DSA-65 over the document hash, legally binding, independently verifiable and tied to the signer. Settlement goes to your custodian or your wallet. We never hold the asset. Capital calls, distributions, cap table entries and valuations then run off the same record.

You close the room

When the deal is done or dead, the tickets end and the guests leave. What the room learned does not have to leave with them: export the room into the Round Table so the knowledge stays yours and stays usable on the next one.

The Upgrade

## KXCO Ontology Round Table.

A VDR is a filing cabinet. Take your deals seriously, it is a battleground out there.

Round Table is the upgrade on top of the room, and it is not a new product. It is already an export from the data room. Every document, reader, question, link and forward in your room is a typed node in a model. Round Table takes that model and puts your people into it: the consultant who knows the sector, the lawyer who has seen this structure fail before, the operator who ran the last one. Their knowledge goes into the same model the AI is reasoning over, not into a separate deck nobody reads.

That is what makes it a weapons-grade business tool rather than storage. The machine reads across your pack. Your consultants sit in the same picture, adding what only they know. You get one model of the deal that both can work in, and it survives the room.

Your Round Table is yours. The ontology we publish on this site is the public model of how the thing works; it is not your deal, and your deal is never in it.

Knightsbridge Law and KXCO are both Knightsbridge Group companies. Legal work on a deal does not start with finding a firm and explaining the structure from the beginning. Where legal commentary from Knightsbridge Law is used, it is affiliated commentary and is disclosed as such.

The point

Judgement is the product

The room drafts the questions, checks the documents and keeps the trail. It does not know which counterparty went quiet for a reason, or which structure failed the last time somebody tried it. That is what the people are for, and it is the half you cannot buy as software.
